What is the XBRL Cloud Report?

The Cloud Report is a validation tool created by a third party to assist with the XBRL filing process. In fact, some printers use this tool as their validation tool for their XBRL clients. Rivet currently uses its own proprietary tool to perform this function and does not rely on a third party for its validation. In addition, Rivet’s validation rules are based on official SEC guidelines, as are documented in the EDGAR manual. A surprising finding of a recent national survey of U.S. CFOs and senior comptrollers conducted by Grant Thornton is that 52% of public companies had ‘no plans at this time’ to ‘report using XBRL’ – despite the S.E.C. mandate window for XBRL filing of June 2009 to 2011. A Quick User’s Guide for Preparers

There are a lot of questions going around right now about when companies should be using the 2009 US GAAP Taxonomy for their XBRL filings. Per the Edgar Filer Manual located on the SEC website (http://www.sec.gov/info/edgar/edmanuals.htm), Edgar is anticipating being able to handle the 2009 Taxonomy in the third quarter of their fiscal 2009 year which is 6/30/09:

It is anticipated that in the third quarter of Fiscal Year 2009, EDGAR Release 9.15.2 will introduce the following changes: 1) the existing US GAAP Taxonomy will be upgraded to 2009 US GAAP Taxonomy. 2) The US GAAP Beta 2.0 Taxonomy will no longer be supported and 3) Submission Type SH-ER Information Table XML documents will be validated against the schema included in the Submission Type SH-ER Information Table XML Technical Specification posted on http://www.sec.gov/info/edgar.shtml.

The Tale of Two Projects (Part One: SEC Interactive Data Rendering Engine)

When the SEC needs a flexible, rule-based rendering engine for interactive data, who do they call?

In July 2008, the SEC put out a “request for proposal” (RFP) to solicit software vendor’s help to create a “rendering engine” that can present the XBRL-based financial statements in an easy to read, attractive format. As stated in the RFP, “The commission proposal views interactive data as an important way to increase access to information in the financial marketplace. The ability to accurately generate human-readable XBRL documents from raw XBRL content in EDGAR submission is central to this work.”
